Board and Corporate Governance
Wulff Group Plc’s share is quoted on the Nasdaq OMX Helsinki, and the registered office of the company is Helsinki. The Wulff Group comprises the parent company and 17 subsidiaries, including 4 companies in Sweden, 2 in Norway, and one in Denmark. The Wulff Group is governed, managed and supervised by the Annual General Meeting, the Board of Directors and the CEO.
Wulff Group Plc’s corporate governance is based on Finnish legislation, such as the Limited Liability Companies Act, Securities Market Act, the regulations concerning the companies in the Helsinki Stock Exchange, and regulations regarding corporate governance of public listed companies, as well as the Articles of Association.
Wulff Group Plc also adheres to the Finnish Corporate Governance Code which is publicly available on the Securities Market Association’s web pages (www.cgfinland.fi). The current Articles of Association are available on the Group’s website www.wulff.fi/en.
Internal auditing is carried out by the company’s internal auditor, under the supervision of the Board of Directors, and external auditing is carried out by external auditors.
The CEO is responsible for the company’s operational management jointly with the Executive Board of the Group.
